I.
Name
(a)
The name of this organization is Philosophy Club (UW-Madison).
Article
II.
Purpose and
Long
Range
Goals
(a)
The purpose of this organization is to share and encourage
"philosophical" ideas and discourse. Of course, since philosophy knows
no bounds, the range of discussion topics is quite broad! This community is not
exclusive but all inclusive; that is, not only does this community hope to
include those with a long-term interest in philosophy, but also those who are
just taking a course and want to take an idea or perspective not discussed in
class even further, as well as those with no interest in any class related to
philosophy whatsoever who have questions or comments on morality, perception,
politics, religion, or anything that they desire to contribute.

III.
Membership
Section
3.01
(a)
Over fifty percent of the members will be students of the
University.
Section
3.02
(a)
All Majors and non-majors may be current members of Philosophy
Club.
(b)
Others who participate in Philosophy Club (UW-Madison) meetings,
events, and productions are also current members of Philosophy Club
(UW-Madison).
(c)
Honorary Philosopher
(i)
This membership category is for those who do not meet the
requirements for membership but have made outstanding contributions to
Philosophy Club.
(ii)
Any Philosophy Club member may nominate persons for honorary
membership. Honorary Philosophers
must be approved by a majority vote by the executive board at the appropriate
meeting.
(d)
Philosophy Club Alumni
(i)
This membership category is for student members who have left
UW-Madison.
(ii)
Any member is automatically given alumni status upon leaving
UW-Madison.
(iii)
Current members have floor privileges, the right to make and
second a motion, and the right to vote. All
other members only have floor privileges. Again,
the total percentage of participants in Philosophy Club who are currently
enrolled at UW-Madison must remain above fifty percent.
Article
IV. OFFICERS
Section
4.01
(a)
The elected officers of Philosophy Club are the president, vice
-president, treasurer, secretary, and publicist.
Section
4.02
(a)
Nominations for officers shall be held at a regular meeting in the
spring, fall and summer semesters of each year.
Only UW-Madison students are eligible for nomination.
Section
4.03
(a)
Officers of Philosophy Club shall be elected by a majority vote of
those voting. Elections are by
secret ballot, and shall be held in the Fall of each year.
If an election does not result in a majority vote for a candidate, a
run-off election between the tied candidates shall be held as soon as possible
after the initial election. The
candidate receiving the majority vote wins.
Section
4.04
(a)
Elected officers serve from the last day of the school semester in
which they are elected until the end of the following academic semester unless
an alternative term is presented and is approved by a majority of the voting
members present and voting during the nomination process.
Section
4.05
(a)
Newly elected officers shall work with current officers during the
period following the election.
Section
4.06
(a)
Any elected office vacated, for whatever reason, normally shall be
filled by a special election conducted under the same procedure as regular
elections. Under special
circumstances, the Executive Board will appoint someone to the vacant position.
Section
4.07
(a)
The elected officers of the organization and the Philosophy Club
advisor(s) are the Executive Board, which acts on behalf of the organization
between meetings. The Executive
Board meets weekly when classes are in session during the regular academic year.
Special meetings of the Executive Board may be called by the presiding
officer, and shall be called by the presiding officer upon the request of any
current member of Philosophy Club (UW-Madison).

4.08
Executive Board
(a)
Elected officers perform official duties according to the latest
edition of UW-Madison’s Student Organization Handbook, and this constitution.
(b)
Executive Board members must attend all meetings of Philosophy
Club (UW-Madison) unless excused by the president.
(i)
President
1)
The president shall chair the Executive Board.
2)
The president is a voting member of all committees.
3)
The president may appoint ad hoc committees and their
chairpersons.
4)
The president or a designee serves as the representative of
Philosophy Club (UW-Madison) in all areas not otherwise designated by the
constitution.
5)
The president or designee is the liaison between Philosophy Club
members and other organizations, including: the Student Organization Office and
Student Government.
(ii)
Vice-president
1)
The vice-president serves as the presiding officer at regular or
special meetings of Philosophy Club in the absence of the president or when
requested to do so by the president.
2)
The vice-president serves as the presiding officer of the
Executive Board in the absence of the president or when requested to do so by
the president.
(iii)
Secretary
1)
The secretary is responsible for maintaining accurate records for
the organization (with the exception of financial records).
2)
The secretary is responsible for recording minutes at Executive
Board and general meetings.
(iv)
Treasurer
1)
The treasurer is responsible for Philosophy Club (UW-Madison)
financial matters.
2)
The treasurer shall prepare the budget, which must be approved by
the Executive Board, and shall be done in accordance to what is written in the
UW-Madison Student Handbook.
3)
The treasurer shall attend annual budget workshops sponsored by
the University of Wisconsin-Madison, if available.
4)
The treasurer shall provide written financial reports to the
Executive Board at the third meeting of each month, and to the general
membership at the first and last general meetings of the semester.
(v)
Philosophy Club Publicist
1)
The Philosophy Club publicist is responsible for publicity for
Philosophy Club sponsored events and meetings.
(c)
Executive Board members not fulfilling their duties may be removed
from office according to the following procedure:
(i)
Upon receipt of a written complaint, the Executive Board shall
determine the validity of the complaint.
(ii)
If the complaint is found validated by a majority vote of the
Executive Board, the offending officer is given a written warning.
(iii)
If a second complaint is received and found valid by a majority
vote of the Executive Board, the Board may recommend to the membership removal
of the offending Executive Board member from office.
(iv)
Action by the membership normally must be taken at the general
meeting immediately following the receipt of the Board's recommendation.
(v)
A majority vote of at least seventy-five percent of the executive
board is required for removal.
(d)
Non-Executive Board members may be suspended or removed from
office according to the following procedure:
(i)
Majority vote of all members, or
(ii)
Majority vote of Executive Board
Article
V. Player's
Advisor
Section
5.01
(a)
Each fall or upon the resignation of an advisor, the Executive
Board shall choose the new advisor(s); the Executive Board may also choose not
to choose an Advisor.
Section
5.02
(a)
The advisor(s) shall be considered annually, and shall serve at
the pleasure of the Executive Board.
(b)
By a majority vote of the Executive Board may terminate an
advisor's relationship with the organization by written notice at any time.
Article
VI. Meetings
(a)
Meetings of the membership shall be held at least twice per month
during the academic year.

6.02
(a)
The president shall call a special general meeting when requested
to do so in writing by at least five members.

Constitution
Section
7.01
Amendments
(a)
This constitution may be amended by a majority vote of the
members.
